Copyright, License & Refund Notice

All AI governance policies, procedures, frameworks, assessments, implementation guides, checklists, templates, commentary, explanatory materials, compilations, and other proprietary materials provided by Telcloud LLC d/b/a KeaneAdvisors.ai (“KeaneAdvisors.ai Materials”) are proprietary materials of Telcloud LLC and, to the extent protected by applicable law, are protected by U.S. copyright and other applicable intellectual property laws.

Purchase of KeaneAdvisors.ai Materials does not transfer ownership, copyright, or other intellectual property rights to the purchaser.

Unless different written license terms are provided with a particular product, purchase grants the purchaser a limited, non-exclusive, non-transferable license to use the purchased materials internally for the purchaser’s own law firm or organization.

The purchaser may not sell, sublicense, commercially redistribute, publish, publicly post, or provide the KeaneAdvisors.ai Materials to third parties except as expressly authorized in writing by Telcloud LLC.

The KeaneAdvisors.ai Materials may incorporate, reference, summarize, organize, or analyze publicly available legal authorities, including professional conduct rules, ethics opinions, statutes, regulations, judicial decisions, court rules, and other legal materials.

Telcloud LLC does not claim ownership of those underlying legal authorities, facts, legal principles, or other material that is not subject to its copyright.

The proprietary rights asserted by Telcloud LLC relate to the protectable elements of the KeaneAdvisors.ai Materials, including, where applicable, their original authorship, expression, commentary, analysis, organization, selection, arrangement, implementation methodology, governance framework, templates, and other original content.

If a purchaser requests and receives a refund for KeaneAdvisors.ai Materials, the license granted to that purchaser for the refunded materials terminates immediately upon issuance of the refund.

As a condition of receiving and retaining the refund, the purchaser must:

1. immediately cease using the refunded materials;
2. delete or destroy all electronic and physical copies within the purchaser’s possession or control;
3. discontinue internal implementation or operational use of the refunded materials;
4. discontinue use of copies, adaptations, or derivative materials substantially incorporating proprietary KeaneAdvisors.ai content;
5. refrain from copying, reproducing, distributing, publishing, posting, transmitting, selling, sublicensing, sharing, or otherwise providing the refunded materials to any other person or organization; and
6. refrain from representing that the purchaser continues to hold a license or other authorization from Telcloud LLC to use the refunded materials.

A refund therefore returns the parties, with respect to the refunded materials, to the position that the purchaser no longer possesses a license to use those materials.

A purchaser may, of course, independently comply with applicable laws, professional conduct rules, ethics opinions, and other legal obligations and may independently develop its own policies and procedures based upon publicly available legal authorities. Nothing in these terms is intended to restrict the purchaser’s independent use of facts, ideas, legal principles, public-domain materials, or underlying legal authorities.

The restriction applies to the proprietary KeaneAdvisors.ai Materials, rather than to the underlying law, ethical requirements, facts, ideas, or professional obligations addressed by those materials.

KeaneAdvisors.ai may require a purchaser requesting a refund to affirm that the purchaser has ceased using the refunded materials, has deleted or destroyed copies within its possession or control, and understands that its license to use the refunded materials has terminated.

All rights not expressly granted to the purchaser are reserved by Telcloud LLC.

Unauthorized reproduction, distribution, commercial exploitation, or continued use of KeaneAdvisors.ai Materials following termination of the applicable license may constitute a violation of the applicable license terms and, where applicable, intellectual property rights.
